Odecy Terms and Conditions

By accessing or using any services provided by Odecy, including browsing the website, purchasing courses, creating courses, using the store, etc., you agree to comply with and be bound by the following terms and conditions. These terms govern your use of the website and its services. If you do not agree to these terms, please refrain from using our services.


1. Account and Registration

To access Odecy's courses and other learning resources, you are required to create an account. During the registration process, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account information, including your username and password.

You agree to notify Odecy immediately if you suspect any unauthorized access or use of your account. Odecy is not liable for any loss or damage arising from your failure to protect your login credentials.

You expressly agree that your use of, or inability to use, the service is at your sole risk. The service and all products and services delivered to you through the service are (except as expressly stated by us) provided 'as is' and 'as available' for your use, without any representation, warranties or conditions of any kind, either express or implied, including all implied warranties or conditions of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement.


2. Payments and Refunds

Odecy processes payments securely through trusted and industry-standard payment providers. All course fees are clearly listed on the website before you proceed with payment. By completing a payment, you are agreeing to the stated course price.

Our Refund Policy is outlined separately and applies to all refunds for courses purchased through the Odecy website. Please read it carefully to understand the conditions under which refunds may be requested, including timeframes and eligibility criteria.


2. Use of Content


By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence, and you have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright laws).

All course materials, including videos, documents, images, and other educational resources, are the property of Odecy and are provided to you for personal, non-commercial use. You may view and use the content as part of your learning experience, but you are strictly prohibited from:

- Copying, distributing, or reselling any course material without written consent from Odecy.
- Sharing login credentials or distributing content in any unauthorized manner.
- Modifying or creating derivative works based on the course content without permission.

If you wish to use the content for purposes beyond personal use, you must obtain prior written consent from Odecy. Any unauthorized use of the content is a violation of these Terms and Conditions and may result in termination of access to the website and legal action.


4. Course Access

Once payment for a course has been successfully processed, you will gain access to the corresponding course content. Course access is typically provided in a digital format, and you may engage with the materials at your own pace unless otherwise stated in the course description.

Please note that access to some content may be restricted or modified at any time by Odecy, including but not limited to updates, revisions, or the discontinuation of certain courses. In such cases, you will be notified of any significant changes that may impact your access to materials.


5- Terms of Collaboration with Instructors at Odecy


Content Protection Rights:

- The course is fully protected, and no party is allowed to access or use it without the instructor's consent.
- Only two platform administrators (admins) have the right to access the content, and they are responsible for periodic reviews to ensure quality, such as verifying that files are free of viruses or checking for logos from other platforms, etc.
- The instructor will be informed of any violations that require correction.

Termination of Course Collaboration:

-If the instructor decides to terminate collaboration with the platform, the course will immediately stop being sold.
-The course will remain available only to students who have already purchased it.

Promoting the Platform and Courses:

- All advertisements and promotional materials, such as posts and reels, are published on the platform’s pages without any additional costs to the instructor.
- Discounts may be applied to courses during occasions or for promotional purposes, and instructors are informed about them. Their profit percentage remains fixed.
- It is preferred for the instructor to participate in events and workshops organized by the platform as a free promotional opportunity for both the platform and the instructor.
- A promotional video for the course can be filmed in a studio in coordination with the instructor.

Allocated Storage for Instructors:

- The platform provides up to 10 GB of storage for video uploads.
- The storage for other files is unlimited as it follows a different uploading system.

Financial Transactions:

- The platform takes only 20% of the sales revenue of any course, while the instructor receives 80%.
- The percentage is calculated based on the course's set price, excluding the fees and taxes associated with payment platforms. These taxes are added to the subscriber’s payment during the checkout process.
- The instructor is notified in advance of any discounts applied to their courses during special occasions.
- Instructors can request withdrawals after their earnings reach 10,000 EGP, provided they have added their financial details in the account settings, such as their InstaPay address or e-wallet number. Withdrawal requests are reviewed within one day, and payments are processed immediately.

External Sales Condition:

- If the instructor sells the course with the same content on another platform, the price must match the price listed on Odecy.

The Instructor’s Right to Use the Platform for Personal Purposes or External Sales:

- The instructor has the right to add students or groups to the course as gifts, for contests, or through external sales, by providing their names and email addresses after they have registered on the platform. We will add the courses to their accounts for free.
- This is one of the features we offer to our instructors and is not available on other platforms because our goal is to provide value, not focus solely on financial gain.

Two Systems on the Platform Applied to Course Content for Encouragement and Promotion:
The two systems are financially affiliated with the platform to support development, funding, and as a means of encouraging the use of the platform and promoting it, in exchange for all the benefits provided to the instructor as mentioned earlier. These two systems are explained below (to keep the instructor fully informed):

- Subscription System: Allows access to selected courses under a subscription model for a nominal fee (e.g., access to three selected courses for 15 days). The content will be hidden after the subscription period ends. This system enables students to browse these courses to decide what to subscribe to or gain insights into a specific field.

- Point System: Students earn points by completing courses, submitting assignments, and interacting on the platform. These points can be used to access additional courses based on a clear exchange system (e.g., a course priced at 700 EGP requires 1,000 points).

Meetings (Sessions):

- The instructor can activate the meetings option from their settings and set an hourly rate for online or offline sessions.
- The instructor's profit percentage from meetings is the same as from courses, with no deductions.
- The meetings feature will soon be available directly on the platform to eliminate the need for external applications.

Platform Message:

- Our main goal is to provide meaningful and beneficial educational content, not just focus on financial profit.
- We commit to content quality and providing an exceptional educational experience for all while adhering to ethical practices.

6. Odecy Store

The Odecy Store operates as a platform for listing and selling products between sellers and buyers. All parties must adhere to the following terms:

- Sellers are responsible for providing accurate and complete information about the products they list for sale.
- Buyers are required to review all product details carefully before completing a purchase.
- Odecy is not a party to transactions between sellers and buyers and is not liable for any disputes or claims arising from such transactions.
- Physical products shipping will be handled by the seller using a trusted shipping company based on an agreement between him and the buyer.
- Online products will be given to the buyer once the transaction is completed, and Odecy will oversee this process
- Odecy reserves the right to remove any product listings or suspend user accounts that violate platform policies or applicable laws.
- All parties must comply with applicable laws and regulations, including consumer protection laws and intellectual property rights.
- Odecy reserves the sole right to evaluate and make decisions on refund requests for products in cases where they are defective, non-functional, misrepresented, or not as described. Sellers must submit a formal refund request within the designated refund period of 14 days for consideration


7. Liability

Odecy makes every effort to provide high-quality educational materials and services. However, by using our courses and website, you acknowledge that:

- Odecy is not responsible for any direct, indirect, incidental, consequential, or punitive damages arising from your use or inability to use the courses, website, or services.
- Odecy does not guarantee that the website or course materials will be error-free, uninterrupted, or free of viruses, bugs, or other harmful components.
- Odecy is not responsible if information made available on the site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources of information. Any reliance on the material on this site is at your own risk.
- Odecy is not responsible for any tools that we may provide with access to third-party tools or materials over which we neither monitor nor have any control nor input.
- Odecy is not responsible for any issues that arise from third-party websites or services linked to our platform.
- In no case shall Odecy, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any product, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility.

You agree to use the services at your own risk, and by accepting these terms, you waive any claims for damages resulting from using our courses and services.


8. Other General Conditions

We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.

In addition to other prohibitions as set forth in the Terms of Service, you are prohibited from using the site or its content: (a) for any unlawful purpose or to submit false or misleading information; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right,; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

And we are not responsible for any of that.

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.


9. Indemnification and Termination

You agree to indemnify, defend and hold harmless Odecy and our parent, subsidiaries, affiliates, partners, officers, directors, agents, suppliers, interns, employees, or any other users, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).


The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
